LICENSE AGREEMENT
Last Updated: August 18, 2026
This License Agreement (“Agreement”) governs the use of digital creative content purchased or otherwise licensed from Agency NI (“Agency NI,” “we,” “us,” or “our”).
Unless a product page, proposal, order, statement of work, or separate written agreement states otherwise, this Agreement constitutes the standard commercial license applicable to Agency NI digital products.
By purchasing, downloading, accessing, or using licensed Agency NI content, you (“Licensee,” “you,” or “your”) agree to the terms of this Agreement.
1. SCOPE OF THIS LICENSE
This Agreement applies to digital creative assets delivered by Agency NI, which may include photographs, images, layouts, campaign materials, graphics, video, motion content, editorial content, and other digital creative deliverables.
The license applies only to the files, assets, and deliverables included with the applicable purchase.
Raw production files, prompts, workflows, working files, proprietary systems, models, source materials, or other production assets are not included unless Agency NI expressly identifies them as part of the purchased product.
2. LICENSE GRANT
Upon receipt of full payment, Agency NI grants you a non-exclusive, worldwide, non-transferable commercial license to use the delivered content for your own lawful business, advertising, marketing, promotional, editorial, presentation, and related commercial purposes.
Unless a product is expressly identified as exclusive or subject to a different license, the license is non-exclusive.
Unless otherwise stated with the applicable product, the standard commercial license does not impose a geographic territory, audience-size, impression, or ordinary advertising-spend limitation on permitted uses.
3. PERMITTED COMMERCIAL USES
Subject to this Agreement, licensed content may be used in connection with your business or brand, including:
- Websites and landing pages
- Social-media posts and profiles
- Social-media advertising
- Digital advertising campaigns
- Email marketing
- Online stores and e-commerce
- Presentations and pitch materials
- Editorial and promotional materials
- Brand campaigns
- Digital signage and displays
- Printed advertising and promotional materials
- Public-relations materials
- Internal corporate communications
- Other comparable lawful commercial communications
4. EDITING AND ADAPTATION
You may make reasonable modifications necessary to integrate licensed content into your permitted creative and marketing materials, including:
- Cropping
- Resizing
- Reformatting for different media
- Color adjustments
- Adding typography
- Adding your own logo or branding
- Combining the content with other lawful design elements
- Preparing versions for different social or advertising platforms
Permitted editing does not authorize extraction, cloning, replication, or independent exploitation of Agency NI talent, characters, identities, or other protected elements outside the delivered work.
5. EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS
You may provide licensed files to your employees, advertising agencies, designers, printers, production companies, media buyers, web developers, social-media managers, and other contractors when reasonably necessary to create or distribute a permitted use on your behalf.
Those parties may use the content only for your permitted project or business purpose and do not receive an independent license to use the content for themselves or for another customer.
You are responsible for taking reasonable steps to ensure that parties receiving Agency NI files on your behalf comply with the applicable restrictions of this Agreement.
6. PROHIBITED REDISTRIBUTION AND RESALE
You may not:
- Resell licensed Agency NI files as standalone digital products
- Redistribute the original or substantially equivalent files to third parties
- Upload the content to a stock-image, stock-video, template, asset, or media marketplace
- Offer the content through a membership library or subscription library
- Sublicense the content to unrelated third parties
- Package the content for resale as templates, creative assets, or downloadable media
- Make Agency NI source files available for unrestricted public download
7. ARTIFICIAL INTELLIGENCE AND MODEL TRAINING
Unless Agency NI expressly authorizes it in writing, licensed content may not be used to:
- Train or fine-tune an artificial-intelligence model
- Create or populate an AI training dataset
- Train a facial-recognition or facial-generation model
- Train a voice model
- Train a character or identity model
- Create an embedding, LoRA, checkpoint, or comparable identity-replication system from Agency NI content
- Extract a depicted person’s or character’s identity for independent synthetic reproduction
The ordinary use of software containing AI-assisted editing features does not by itself violate this section when the use is limited to creating an otherwise permitted finished design and does not train, extract, clone, or independently reproduce Agency NI content, talent, or identities.
8. TALENT, CHARACTERS, AND LIKENESSES
Agency NI content may depict photographed talent, digitally created talent, synthetic characters, fictional identities, digitally modified persons, or combinations of traditional and synthetic creative techniques.
Your license permits use of the depicted person or character only as incorporated into the licensed content and within the uses permitted by this Agreement.
Unless separately authorized in writing, you may not:
- Clone or independently recreate a depicted face, body, voice, character, or identity
- Create a digital replica from Agency NI content
- Transfer a depicted identity onto unrelated imagery or video
- Represent that depicted talent or a character personally endorses your company, product, service, political position, or organization
- Create defamatory, deceptive, or unlawful representations involving depicted talent or characters
- Modify Agency NI content to create pornography, nudity, sexually explicit material, or sexualized synthetic depictions of depicted talent or characters
Use of an image in an advertisement does not by itself grant permission to state or imply that the depicted person personally uses, recommends, or endorses the advertised product or service.
9. OTHER PROHIBITED USES
Licensed content may not be used:
- For unlawful or fraudulent purposes
- In a defamatory manner
- To intentionally mislead or impersonate another person or organization
- To violate intellectual-property, privacy, publicity, or other legal rights
- To falsely suggest sponsorship, affiliation, or endorsement by Agency NI
- As part of malware, phishing, fraud, or deceptive commercial activity
- In a manner expressly prohibited by the applicable product description or separate agreement
10. EXCLUSIVITY
Agency NI products are non-exclusive unless expressly identified as exclusive in writing.
A non-exclusive purchase does not prevent Agency NI from licensing the same content to other customers or from displaying, promoting, archiving, or otherwise using the work as permitted by law.
Exclusive licenses, category exclusivity, territorial exclusivity, campaign exclusivity, buyouts, and other specially negotiated rights require an express written agreement identifying the scope and duration of those rights.
11. OWNERSHIP
Purchasing Agency NI content grants a license to use the applicable delivered content. It does not, by itself, constitute a sale or assignment of Agency NI’s underlying intellectual-property rights.
Agency NI retains all rights it owns or controls in protectable creative elements, photography, video, editing, text, graphics, branding, designs, arrangements, selections, production materials, and other intellectual property except for rights expressly granted to you.
All rights not expressly granted under this Agreement are reserved to the extent those rights exist under applicable law.
12. AI-ASSISTED AND SYNTHETIC CONTENT
Agency NI may use photography, human creative direction, editing, compositing, artificial intelligence, machine-learning technology, digital generation, synthetic media, or combinations of these techniques in producing creative work.
The license granted under this Agreement is a contractual permission to use the delivered content in accordance with these terms.
Agency NI does not represent that every individual element of AI-assisted or synthetic content is independently eligible for copyright protection in every jurisdiction.
Nothing in this Agreement is intended to claim copyright or other intellectual-property protection beyond the rights available under applicable law.
13. TRADEMARKS AND BRAND IDENTIFIERS
This Agreement does not grant ownership of the Agency NI name, logo, trademarks, trade dress, or other Agency NI brand identifiers.
You may not register Agency NI content, talent, character identities, logos, or other Agency NI materials as your trademark, service mark, business identity, or other exclusive source identifier unless Agency NI expressly authorizes that use in writing.
14. PHYSICAL PRODUCTS
The purchase of a physical product, print, book, display piece, or other tangible Agency NI product does not automatically grant reproduction, distribution, commercial advertising, or other intellectual-property rights in the creative work depicted on that product.
Any additional rights accompanying a physical product must be expressly identified with that product.
15. ATTRIBUTION
Attribution to Agency NI is not required for ordinary uses permitted under the standard commercial license unless the applicable product or separate agreement specifically requires attribution.
You may not falsely represent yourself or another party as the creator or rights owner of Agency NI materials.
16. LICENSE TERM
Unless otherwise stated, the standard commercial license is perpetual after full payment, subject to continued compliance with this Agreement.
Agency NI will not revoke a properly purchased license merely because the applicable product is later removed from sale.
17. TERMINATION FOR BREACH
Agency NI may terminate a license if the Licensee materially violates this Agreement and, where the violation is reasonably capable of correction, fails to correct the violation after receiving reasonable notice.
Upon termination, the Licensee must cease new uses of the affected content and discontinue prohibited uses.
Termination does not limit any rights or remedies otherwise available under applicable law.
18. TRANSFER OF THE LICENSE
The standard commercial license is issued to the purchaser and may not be sold, assigned, or transferred to another person or unrelated business without Agency NI’s written permission.
Use by employees, contractors, platforms, and service providers solely on behalf of the Licensee as permitted under Section 5 is not considered a prohibited transfer.
19. PRODUCT-SPECIFIC AND CUSTOM LICENSES
Certain Agency NI products, custom campaigns, Enterprise services, collaborations, commissioned projects, or specially negotiated transactions may include different or additional licensing terms.
Those terms may address matters such as exclusivity, duration, territory, media, industry category, advertising use, ownership, buyouts, confidentiality, or other project-specific rights.
When a separately executed written license or agreement conflicts with this standard License Agreement, the separately executed agreement controls for that particular transaction.
20. RELATIONSHIP TO OTHER AGENCY NI POLICIES
This License Agreement should be read together with the Agency NI Terms of Service and other policies applicable to your purchase.
If a specific order, product license, or separately executed agreement contains different terms governing the use of particular content, the more specific terms will control for that content.
21. CHANGES TO THIS AGREEMENT
Agency NI may update this standard License Agreement periodically to reflect changes in our products, technology, business practices, or legal obligations.
An updated Agreement will apply prospectively as appropriate and will not retroactively remove rights already granted under a completed purchase unless otherwise required or permitted by applicable law.
